Ulysses Club Inc. Constitution Review and Submission

Member Consultation.

The draft constitution (Version 6) was distributed to members for review and comment in late 2023 following an extensive review by the Constitution Review Committee (CRC) then a further review by the National Committee (NatCom).

Following consideration by both the Constitution Review Committee and the National Committee of all the member feedback received one amendment was made to the draft Constitution creating Version 7.

Notice of a Special Resolution of the Ulysses Club Inc.

In accordance with the Associations Incorporation Act 2009 No7 and the Associations Incorporation Regulations 2022 the Constitution Review Committee and National Committee of The Ulysses Club Inc. Registration Number 00558909 propose the following special resolution be put to members at the Ulysses Club Inc. Annual General Meeting to be held at the Pinjarra Civic Centre WA on Saturday the 23 March 2024. Postal voting for those unable to attend the AGM is encouraged.

The draft Constitution of the Ulysses Club Inc. Version 7, as distributed to members via electronic means and a notice on the News page of the website be adopted in its entirety, and thereby revoke the current Constitution of the Ulysses Club Inc. Amended at the Warwick AGM, 9th April 2022.

EXPLANATION

The Associations Incorporation Act and Regulations are the primary legislative sources that governs the operation of the Ulysses Club Inc. In 2009, the New South Wales Government amended Associations Incorporation Act and in 2022, updated the Associations Incorporation Regulation which introduced new Model Rules for developing the Constitutions of Incorporated Associations.

 

These Model Rules serve to standardise the format and content of Constitutional documentation across all Incorporated Associations and have been adopted by the Office of Fair-Trading NSW and the Registrar of Incorporated Associations.

 

A review of our Constitution by the Constitutional Review Committee revealed that sections of our Constitution do not comply with the 2009 Legislation, the associated Regulation 2022, and the new Model Rules.

 

The Special Resolution is to adopt the proposed new Constitution (as published) in its entirety, and

thereby revoke the current Constitution Amended at the Warwick AGM 9 April 2022.

All members of the Constitution Review Committee support the proposed constitution.
